1. Acceptance of Terms

By creating an account, subscribing to, or otherwise using PRN Ledger (the “App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App. These Terms are between you and Ryrima Ventures, LLC (“Ryrima Ventures,” “we,” “us,” or “our”).

2. Description of Service

PRN Ledger is a personal tracking tool that allows users to log shifts, agencies or clients worked for, pay rates, and related information, and to view summaries, tax set-aside estimates, and reports based on that self-entered data. PRN Ledger is a personal productivity and record-keeping tool. It is not an accounting, tax preparation, payroll, or legal service.

3. Eligibility

You must be at least 18 years old to create an account and use PRN Ledger. By using the App, you represent that you meet this requirement.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized use of your account.

5. Subscription, Free Trial, and Billing

PRN Ledger Premium starts with a 7-day free trial for first-time subscribers. A payment method is required to start your trial. Unless you cancel before the trial ends, you will be automatically charged the subscription price shown at the time of purchase ($5.99/month or $49.99/year, or as otherwise displayed), and your subscription will continue, recurring at that interval, until you cancel.

You may cancel your subscription at any time through your Apple App Store or Google Play account settings. Refunds, where applicable, are handled directly by Apple or Google in accordance with their own refund policies — Ryrima Ventures does not process refunds directly and cannot guarantee a refund from the App Store or Play Store.

6. Account Locking and Data Deletion Policy

If you cancel your subscription or your subscription lapses without renewal:

Your account will lock, and you will no longer be able to add or edit information within the App.
You will still be able to open the App and export your previously entered shift, pay, and agency data as a CSV or PDF file for a limited period following cancellation or lapse — 45 days if you were only ever on a free trial, or 60 days if you were a paying subscriber.
After the applicable period, your account data will be permanently and irreversibly deleted from our systems. It is your sole responsibility to export and retain a copy of your data before the end of the applicable period.

You may also delete your account and data at any time using Delete Account in the App.

By subscribing, you acknowledge that this data deletion policy has been clearly explained to you in advance, with a real opportunity to export your information. You accept these Terms and agree that you waive any and all legal rights to bring a claim against Ryrima Ventures, LLC or any of its associates or affiliates, arising from timely deletion carried out in accordance with this disclosed schedule.

7. Tax and Pay Accuracy

PRN Ledger’s tax and pay calculations are estimates for personal tracking purposes only. They are not meant to replace professional tax, legal, or financial advice. You are solely responsible for verifying your own tax obligations with a qualified professional and making the necessary adjustments for your own accuracy of records.

8. Not for Medical or Protected Health Information

PRN Ledger is intended for non-medical, personal scheduling and pay-tracking use only. To protect the privacy of any clients or patients you may work with, you agree to use agency names, or initials or nicknames for private clients, and not to enter clients’ full names, addresses, health-related details, or other personally identifiable or protected health information into the App.

9. Acceptable Use

You agree to use PRN Ledger only for its intended purpose of personal shift, pay, and schedule tracking, and in a way that follows applicable laws. You agree not to:

Use the App for any unlawful, fraudulent, or harmful purpose.
Access, or try to access, another person’s account or data, or share your account with others.
Copy, modify, reverse engineer, or try to extract the App’s source code, except where the law allows it.
Interfere with, disrupt, or try to get around the App’s security, subscription, or access features.
Use bots, scrapers, or other automated tools to access the App.
Enter information you do not have the right to enter, including the client information described in Section 8.

If you do not follow this section, we may suspend or terminate your account as described in Section 13.

10. Technical Issues

While we take reasonable steps to keep the App and your data working correctly, we cannot guarantee uninterrupted service or that the App will always be free of bugs, errors, or technical failures. Ryrima Ventures, LLC is not liable for data loss, delays, or other issues caused by unintentional technical problems outside of our reasonable control.

11. Service Reliability and Limitation of Liability

PRN Ledger is provided “as is” and “as available,” without warranties of any kind, express or implied. We do not guarantee that the App will be error-free, uninterrupted, or available at all times, or that any feature — including but not limited to shift tracking, tax calculations, overlap or conflict detection, and data export — will function without error.

To the fullest extent permitted by law, Ryrima Ventures, LLC and its associates or affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, PRN Ledger — including but not limited to lost income, missed shifts, tax penalties, or disputes with an employer or agency — even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for any claim arising from your use of PRN Ledger exceed the amount you paid us in subscription fees during the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based, including contract, tort, negligence, or any other basis, except where such limitation is not permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Ryrima Ventures, LLC and its members, associates, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney’s fees) that arise from: (a) your use or misuse of the App; (b) your violation of these Terms; (c) information you enter into the App, including any client information entered against Section 8; or (d) your violation of any law or the rights of another person.

13. Account Termination by Ryrima Ventures

We reserve the right to suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or misused the App. Upon such termination, the data deletion timelines described in Section 6 may apply at our discretion, consistent with this policy.

14. Intellectual Property

PRN Ledger, including its design, code, branding, and features, is the property of Ryrima Ventures, LLC and is protected by applicable intellectual property laws. Your subscription grants you a personal, non-transferable license to use the App for its intended purpose — it does not grant you any ownership interest in the App itself. The data you personally enter into the App remains yours.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the App or by other reasonable means. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida, except as otherwise limited by Section 6.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. General Terms

Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and Ryrima Ventures about the App, and they replace any earlier agreements about it.

Transfer. You may not transfer your account or your rights under these Terms to anyone else. Ryrima Ventures may transfer these Terms, including as part of a sale, merger, or transfer of the App or its business, and these Terms will continue to apply.

No waiver. If we do not enforce part of these Terms right away, that does not mean we give up the right to enforce it later.
